Refund Policy
This Refund Policy applies to all services purchased from SINDA (ASIA) LIMITED, trading as SINDA CORPORATION®, a company incorporated in the Hong Kong Special Administrative Region, registered company number 2441442, holder of TCSP Licence No. TC008290 issued by the Registrar of Companies, HKSAR, whose registered office is at Unit 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong ("SINDA", "We", or "Us").
This Refund Policy should be read alongside, and in addition to, SINDA's full suite of legal documents, all of which are incorporated by reference:

Please read this Refund Policy carefully. By placing an Online Order or engaging SINDA's services, you agree to be bound by this Refund Policy.
1. Definitions
"Commencement of Services" means the initiation of any activity by SINDA in relation to the contracted services, including but not limited to: the processing or handling of your request or application; any preparatory, administrative, or compliance work undertaken internally by SINDA; submission of any application to a government authority or third party; or any communication made by SINDA on your behalf.
"Engagement Letter" means a formal written agreement issued by SINDA setting out the specific scope of services, fees, and special terms applicable to a particular offline engagement.
"Online Order" means any order for services placed by you through the SINDA website at www.sindacorporation.com.
"Statutory Period" means the 14 calendar day period from the date of purchase of an Online Order during which a cancellation and refund request may be made, subject to the conditions set out in this Policy.
2. Statutory 14-Day Cancellation Right — Online Orders
You have 14 calendar days from the date of purchase of an Online Order (the Statutory Period) to cancel your order and request a refund, subject to the following conditions:
- SINDA must not yet have commenced work on your order at the time the cancellation request is received; and
- your cancellation request must be received by SINDA before the Statutory Period expires.
If both conditions are met, you are entitled to a full refund of the fees paid. No refund will be given for cancellation requests made after the Statutory Period has expired, or where SINDA has commenced work on your order, regardless of when the cancellation request is made.

SINDA will acknowledge receipt of your cancellation request within 48 hours. Your services will come to an end on the date of cancellation.
3. No Refund — Services Already Commenced
All fees paid for services that have been commenced by SINDA are non-refundable, except as expressly set out in this Policy. This applies regardless of whether the final deliverable has been provided at the time of cancellation.
Where SINDA has commenced work prior to cancellation — including any internal processing, compliance review, or third-party submission — SINDA is entitled to retain fees proportionate to the work completed and any Disbursements incurred. SINDA assigns to you full legal ownership of the portion of services for which payment has been retained.
4. No Refund — KYC and Due Diligence Non-Compliance
For the avoidance of doubt, the following will each be treated as a decision by you not to proceed with your engagement with SINDA, and will be deemed non-compliant with the due diligence process required by law:
- failure to supply identity documents, corporate documents, source of funds/wealth declarations, or any other information requested by SINDA for KYC/AML compliance;
- failure to obtain or supply professional advice or requested documents where required; or
- failure to complete any required Agreement, Engagement Letter, or compliance form.
No refund will be issued as a result of non-compliance with SINDA's due diligence process. This requirement is imposed by Hong Kong law, including the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615), and cannot be waived.
5. Bank Account Opening — Partial Refund on First Refusal
Bank account opening cannot be guaranteed, as acceptance is entirely at the discretion of the relevant bank. If a bank declines your application:
- SINDA will continue to connect your application to the most suitable alternative bank in the same or a different jurisdiction, depending on your business requirements and profile, at no additional charge for the initial referral; and
- if you decide not to proceed with any alternative following the first refusal, SINDA will issue a partial refund after deducting 15% of the total fee paid to cover work already completed.
If your company has nominees acting as director or shareholder, an additional fee may apply to cover the enhanced due diligence documentation required. This additional fee is non-refundable once the relevant due diligence work has commenced.
6. Non-Refundable Fees — Government, Filing, and Third-Party Charges
No refund will be made in respect of any government filing fees, official registration charges, or third-party Disbursements that have already been paid or committed by SINDA on your behalf. These amounts are passed through at cost and are not within SINDA's control once submitted.
7. Discretionary Refunds — Circumstances Outside Your Control
SINDA retains full discretion, to be exercised reasonably, over whether to refund any element of a fee where an engagement does not proceed for reasons genuinely outside your control, including:
- changes in applicable law or regulation that prevent the engagement from proceeding; or
- receipt of independent professional advice that prevents you from proceeding with the engagement.
Any discretionary refund, if granted, will be subject to deduction of any administrative, compliance, or processing costs incurred by SINDA up to the date of cancellation. Such requests will be evaluated on a case-by-case basis and SINDA's decision shall be final.
8. Termination Fee — Transfer, Striking Off, or Liquidation of a Managed Company
A one-off termination fee of HKD 30,000 per entity applies in the following circumstances:
- SINDA agrees to transfer a managed company or structure to another service provider at the Client's request;
- the Client and SINDA agree that the structure or any entity within it is no longer required; or
- the Client decides to strike off the managed company or commence a liquidation process.
The Termination Fee falls due upon the occurrence of any of the above events. SINDA will not take any action to effect a transfer, striking-off, or liquidation until the Termination Fee has been received in cleared funds. This fee is separate from and in addition to any outstanding service fees, annual renewal fees, and Disbursements, all of which must also be settled in full prior to transfer or striking-off.
The Termination Fee is reviewed periodically and may be subject to increase. The prevailing fee will be notified to you at the relevant time.
9. Engagement Letter Clients — Refunds and Cancellation
For Clients engaged via a formal Engagement Letter, refund and cancellation rights are governed primarily by the applicable Engagement Letter and SINDA's Business Trading Terms and Conditions. The statutory 14-day cancellation right in Clause 2 above does not apply to services engaged via Engagement Letter.
Either party may terminate an Engagement Letter engagement on not less than three (3) months' written notice, subject to the full termination provisions set out in the Business Trading Terms and Conditions. Upon termination, the Client remains liable for all fees for services rendered up to the date of termination and any Disbursements incurred.
10. Annual Renewals — Non-Refundable Once Invoiced and Due
Annual renewal fees are invoiced in advance at least two (2) months before services expire. Once a renewal invoice has fallen due, the renewal fee is non-refundable. Failure to pay renewal invoices by the due date may result in termination of services and the relevant company falling out of good standing. SINDA will not be liable for any consequences arising from a company falling out of good standing due to non-payment of renewal fees.
11. How Refunds Are Processed
Where a refund is approved, it will be processed to the original payment method used at the time of purchase within a reasonable timeframe, and in any event within 14 calendar days of SINDA's confirmation that a refund is due. SINDA reserves the right to deduct any bank charges, payment processing fees, or currency conversion costs from the refund amount where applicable.
12. No Liability for Losses Arising from Non-Refundable Fees
To the maximum extent permitted by Hong Kong law, SINDA shall not be liable for any claims, damages, or losses arising from the non-availability of a refund in accordance with this Policy. Nothing in this Policy limits or excludes any liability that cannot be lawfully excluded under the laws of the HKSAR, including liability for fraud or death or personal injury caused by SINDA's negligence.
13. Legal Compliance
This Refund Policy is consistent with the laws and regulations applicable in Hong Kong, including those pertaining to licensed TCSPs and consumer protection. Should any provision of this Policy be deemed unenforceable by a court of competent jurisdiction in the HKSAR, the remaining provisions will continue in full force and effect.
14. Changes to This Refund Policy
SINDA reserves the right to update or amend this Refund Policy from time to time as required by law or in the ordinary course of business. Any changes will be posted on the Website immediately upon publication. Your continued use of the Website or engagement of our services following publication constitutes acceptance of the revised Policy.
