Website Terms & Conditions
These Website and Services Terms and Conditions govern your use of this Website and your engagement of SINDA's services, whether online or offline. In the event of any conflict between an Online Order placed through this Website and a formal Client Engagement Letter, the Engagement Letter and accompanying Terms of Business shall prevail. Either shall prevail over any Business Proposal or quotation.
Please read these Terms carefully — they affect your legal rights and obligations. By using this Website or engaging our services you agree to be bound by these Terms.
1. Introduction and Parties
These Website and Services Terms and Conditions (the "Terms") apply between you (the "User" or "Client") and SINDA (ASIA) LIMITED, trading as SINDA CORPORATION®, a company incorporated in the Hong Kong Special Administrative Region ("HKSAR"), registered company number 2441442, holder of TCSP Licence No. TC008290 issued by the Registrar of Companies, HKSAR, whose registered office is at Unit 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong (referred to as "SINDA", "We", or "Us"). SINDA is a licensed Trust and Company Service Provider ("TCSP") regulated under the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615) of Hong Kong and subject to ongoing supervision by the Registrar of Companies, HKSAR. All services are provided subject to applicable Hong Kong law, SINDA's TCSP licence conditions, and AML/CTF obligations.
These Terms should be read together with SINDA's full suite of legal documents, all of which are incorporated by reference:

In the event of any inconsistency between these Terms and the Business Trading Terms and Conditions, the Business Trading Terms and Conditions shall prevail in respect of the relevant service. In the event of any inconsistency between these Terms and an Engagement Letter, the Engagement Letter shall prevail.
2. Definitions
"Agreement" means these Terms together with any applicable Engagement Letter, Order, Business Trading Terms and Conditions, Schedule of Fees, Privacy Policy, Refund Policy, and Cookies Policy.
"Client" or "You" means the individual, company, partnership, trust, foundation, or other entity that engages SINDA for Services via Online Order or Engagement Letter.
"Commencement Date" means the date of the Engagement Letter or Order, or such other date as the parties agree in writing.
"Content" means any text, graphics, images, logos, audio, video, software, data, page layouts, and underlying code on the Website.
"Disbursements" means all reasonable expenses and third-party costs properly incurred by SINDA on behalf of the Client, including government fees, filing fees, courier charges, and postage.
"Engagement Letter" means a written document issued by SINDA setting out the specific scope of Services, fees, and special terms applicable to a particular offline engagement.
"Force Majeure Event" means any event beyond a party's reasonable control, including acts of God, pandemic, war, civil unrest, government or regulatory action, or failure of third-party infrastructure or systems.
"KYC" means Know Your Customer due diligence procedures required under AML/CTF obligations and SINDA's internal policies.
"Order" means any written, electronic, or online instruction submitted by the Client to SINDA to purchase or engage Services through the Website.
"Refund Policy" means SINDA's refund policy available at sindacorporation.com/other/refund-policy, incorporated into these Terms by reference.
"Schedule of Fees" means the schedule of services and fees issued by SINDA from time to time, whether published on the Website or communicated directly to the Client.
"Services" means the TCSP and related corporate administrative services provided by SINDA as further described in Clause 3 and any applicable Engagement Letter or Order.
"Statutory Period" means the 14 calendar day period from the date of Online Order purchase during which cancellation rights apply, as set out in the Refund Policy.
"Website" means www.sindacorporation.com and any sub-domains, unless expressly excluded by their own terms.
3. Scope of Services
SINDA provides TCSP services as a licensed and regulated firm. Services include, without limitation:
- Company formation and incorporation in Hong Kong, the United Kingdom, BVI, Jersey, Isle of Man, Bermuda, Singapore, USA, Cayman Islands, Panama, Seychelles, UAE, and other jurisdictions;
- Registered office, business address, and correspondence address services;
- Company secretarial and statutory compliance services;
- Trust and foundation formation and administration;
- International business bank account introduction and facilitation;
- Trademark registration and intellectual property filing services;
- Corporate advisory and business matching services; and
- Any other services described on the Website or in an Engagement Letter or Order.
All Services are subject to: (a) SINDA's acceptance of the Client following satisfactory KYC/AML due diligence; (b) payment of applicable fees in full; and (c) the Client's ongoing compliance with all applicable laws and SINDA's internal compliance policies.
SINDA operates as a service provider only and not as a legal, tax, financial, or investment adviser. Nothing provided by SINDA constitutes legal, tax, accounting, or financial advice. Clients are strongly encouraged to obtain independent professional advice before making any business or investment decisions.
High-risk businesses and individuals may be subject to enhanced due diligence and may incur additional charges during onboarding. SINDA will endeavour to notify Clients of such additional charges prior to commencing services where reasonably practicable.
SINDA reserves the right to decline, suspend, or terminate any Services at any time where required by applicable law, regulation, TCSP licence conditions, or its compliance policies, without liability to the Client.
4. How to Engage — Online and Offline Channels
4.1 Online Orders
Clients may place Orders for certain services directly through the Website. The description of Services on the Website does not constitute a contractual offer. By submitting an Online Order, the Client:
- confirms that all information provided is accurate, current, and complete;
- authorises SINDA to carry out KYC/AML checks as required by Hong Kong law;
- agrees to pay the fees set out in the current Schedule of Fees; and
- acknowledges that submission of an Order constitutes a binding offer which SINDA may accept or decline at its absolute discretion.
A binding contract is formed only upon SINDA issuing a written Order Confirmation by email. SINDA reserves the right to decline any Order without providing reasons. Any monies paid in respect of a declined Order will be returned in full.
Any fee quotation sent by email is valid for a maximum of 30 days from its date unless expressly withdrawn earlier. No variation of a confirmed Order may be made unless agreed by both parties in writing.
Certain services are only available via the Engagement Letter route and cannot be ordered online. SINDA will make this clear on the relevant service pages.
4.2 Offline Engagements — Engagement Letter
Clients requiring bespoke, ongoing, or complex services are onboarded via a formal Engagement Letter issued by SINDA. The Engagement Letter sets out the specific scope of services, fee structure, payment schedule, term, and any special conditions. It is governed by and incorporates SINDA's Business Trading Terms and Conditions (Version 2.0 or current). Clients engaged via this route should refer to the Business Trading Terms and Conditions for detailed provisions on fees, renewals, termination, indemnity, and liability.
Clients engaged via Engagement Letter are not required to place Online Orders for services already covered by their Engagement Letter, unless expressly agreed otherwise.
4.3 Dual-Channel Clients
Clients who hold an Engagement Letter may also use the Website to place additional Online Orders. The Engagement Letter and Business Trading Terms and Conditions govern the overall relationship. These Terms apply additionally in respect of Website use and any Online Orders placed. In the event of inconsistency, the Engagement Letter prevails.
4.4 Client Information and KYC
Whether engaging online or offline, the Client must provide all information and documents requested by SINDA for KYC/AML compliance promptly and accurately. The Client must notify SINDA immediately of any material changes to previously provided information, including changes to beneficial ownership, source of funds, business activities, or corporate structure. SINDA shall not be liable for any delay, loss, or inability to provide services caused by the Client's failure to provide timely and accurate information.
5. Fees, Payment, and Disbursements
Fees are as set out in the Schedule of Fees published on the Website from time to time, or as separately agreed in an Engagement Letter. SINDA reserves the right to update the Schedule of Fees upon reasonable prior notice.
For Online Orders, payment in full is due at the time of placing the Order unless otherwise agreed in writing. SINDA accepts payment via Visa, Mastercard, American Express, UnionPay, PayPal, Apple Pay, WeChat Pay, Alipay, Klarna, and bank transfer, subject to availability. All online payments are processed using industry-standard SSL encryption.
For Engagement Letter clients, fees are payable in accordance with the payment terms in the applicable Engagement Letter. Annual renewal fees are invoiced in advance at least two (2) months before services expire. Invoices unpaid after the due date may attract interest and may result in suspension of services and the relevant company falling out of good standing.
All fees are exclusive of applicable taxes, government fees, duties, and levies unless expressly stated otherwise. The Client is solely responsible for all such additional amounts.
Disbursements — including government registration fees, filing fees, courier charges, and other out-of-pocket expenses — are payable by the Client in addition to service fees and will be invoiced as they arise or upon completion of the relevant service.
SINDA reserves the right to withhold delivery of services, documents, or corporate records pending receipt of all outstanding fees and disbursements in cleared funds, and to exercise a lien over all documents and records in its possession until all outstanding amounts are settled.
6. Cancellation and Refunds
SINDA's full Refund Policy is available at sindacorporation.com/other/refund-policy and is incorporated into these Terms by reference. The following is a summary only — the full Refund Policy governs in all cases.
6.1 Statutory 14-Day Cancellation Right (Online Orders)
You have 14 calendar days from the date of your Online Order (the "Statutory Period") to cancel and request a full refund, provided SINDA has not yet commenced work on your Order. To exercise this right, contact us at [email protected] before the Statutory Period expires. SINDA will acknowledge cancellation within 48 hours. This right does not apply to services made to your specifications or already commenced.
6.2 Services Already Commenced — No Refund
Once SINDA has commenced work on a service — including the processing or handling of your request, application, or any preparatory activity — no refund will be issued for that service. "Commencement" includes any internal activity initiated by SINDA in connection with your Order, even if the final deliverable has not yet been provided.
6.3 KYC Non-Compliance — No Refund
For the avoidance of doubt, a failure to supply due diligence information, to provide professional advice if requested, or to complete any required Agreement will be treated as a decision by you not to proceed and deemed non-compliant with the due diligence process required by law. No refund will be issued as a result of KYC non-compliance.
6.4 Bank Account Opening — Partial Refund
Bank account opening cannot be guaranteed. If a bank declines your application and you choose not to proceed with an alternative, a partial refund will be issued after deducting 15% of the total fee paid to cover work already completed.
6.5 Discretionary Refunds
SINDA retains full discretion, exercised reasonably, over whether to refund any element of a fee where an engagement does not proceed for reasons outside your control, such as changes in law or regulation or receipt of professional advice preventing you from proceeding. Any such refund will be subject to deduction of any administrative or processing costs incurred by SINDA up to that point.
6.6 Termination Fee
A one-off termination fee of HKD30,000 per entity applies where SINDA agrees to transfer a managed company to another service provider, or where the Client decides to strike off or liquidate a managed company. This fee is in addition to any outstanding service fees and disbursements. SINDA will not take any action to effect a transfer or striking-off until this fee has been received in cleared funds. 7. KYC, AML, and Regulatory Compliance
As a licensed TCSP, SINDA is subject to mandatory AML/CTF and sanctions compliance obligations under Hong Kong law, including the Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615) and associated guidelines issued by the Registrar of Companies.
The Client agrees to:
- provide all identity documents, corporate documents, source of funds/wealth declarations, and other information requested by SINDA promptly and in the required form;
- keep SINDA informed of any material changes to its business activities, corporate structure, beneficial ownership, directors, or source of funds;
- cooperate fully with any enhanced due diligence requests; and
- not use SINDA's services for any unlawful purpose, including money laundering, terrorist financing, tax evasion, or circumvention of sanctions.
SINDA may be required by law to file suspicious transaction reports with the Joint Financial Intelligence Unit (JFIU) and to disclose information to regulatory authorities and law enforcement without prior notice to or consent of the Client. SINDA shall incur no liability to the Client arising from any such disclosure.
Services may be suspended or terminated, and fees for work already performed may be forfeited, where the Client fails to provide adequate KYC documentation, where SINDA is unable to complete satisfactory due diligence, or where SINDA's compliance policies otherwise require such action. No refund will be issued in such circumstances.
8. Intellectual Property
All Content on the Website is, unless uploaded by Users, the property of SINDA (ASIA) LIMITED, its affiliates, or relevant third parties. Content is protected by copyright, trademarks, database rights, and other intellectual property rights under Hong Kong and international law.
SINDA CORPORATION® is a registered trademark of SINDA (ASIA) LIMITED and its affiliates. Nothing in these Terms grants any right to use any trademark, logo, or service mark without SINDA's prior written consent.
You may, for your own personal non-commercial purposes only: (a) retrieve, display, and view Content on a device screen; (b) download and store Content electronically on a personal device (not on any server or network-connected storage); and (c) print one copy of the Content. You must not otherwise reproduce, modify, copy, distribute, or use any Content for commercial purposes without SINDA's prior written permission.
9. Prohibited Use
You may not use the Website or SINDA's services for any of the following purposes:
- in any way that causes or may cause damage to the Website or interferes with any other person's use of it;
- in any way that is harmful, unlawful, abusive, harassing, threatening, fraudulent, or in breach of any applicable law or regulation;
- to make, transmit, or store electronic copies of copyright-protected Content without the owner's permission;
- to engage in, facilitate, or conceal money laundering, terrorist financing, fraud, tax evasion, or sanctions evasion;
- to impersonate any person or entity or misrepresent your identity, authority, or affiliation;
- to upload or transmit any virus, malware, ransomware, or other harmful or disruptive code; or
- for any purpose prohibited under the laws of the HKSAR or any other applicable jurisdiction.
10. Website Registration, Account, and Security
To access certain features or place an Online Order, you may be required to register a user account. You must ensure all registration information is accurate, complete, and kept up to date.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. Notify us immediately at [email protected] if you become aware of any unauthorised access to your account.
We may suspend or cancel your account with immediate effect where: (a) you breach these Terms; (b) you fail to complete KYC to our satisfaction; (c) our compliance policies require it; or (d) we have reasonable grounds to suspect misuse or fraud. Cancellation does not affect SINDA's accrued rights or any outstanding fee obligations. You may request account cancellation at any time by contacting us in writing.
11. Data Protection and Privacy
SINDA collects, uses, holds, and processes personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486) of Hong Kong ("PDPO"). By using the Website or engaging SINDA's services, you acknowledge that SINDA will process your personal data for the following purposes:
- providing and administering the requested Services, including TCSP services engaged via Online Order or Engagement Letter;
- conducting mandatory KYC/AML due diligence and ongoing monitoring as required by law;
- complying with all applicable legal, regulatory, and licensing obligations, including reporting to the Registrar of Companies and law enforcement authorities;
- processing payments;
- internal record-keeping and administration;
- communicating with you regarding your account, Orders, and Services; and
- improving and developing SINDA's Website and service offerings.
SINDA will not sell your personal data to third parties for marketing purposes. Personal data may be disclosed to regulators, government authorities, professional advisors, group companies, service providers, and law enforcement where required by law or necessary for the above purposes — including without limitation to the JFIU in connection with SINDA's AML/CTF reporting obligations.
SINDA is required under Hong Kong law to retain certain KYC and transaction records for a minimum of five (5) years following the end of a business relationship or transaction.
You have the right to request access to and correction of your personal data held by SINDA under the PDPO. Requests should be directed to [email protected]. Complaints may be referred to the Office of the Privacy Commissioner for Personal Data (PCPD) at www.pcpd.org.hk.

12. Confidentiality
Each party agrees to hold in strict confidence all Confidential Information received from the other party and to use such information solely for the purposes of the engagement. This obligation survives termination of these Terms or any Engagement Letter.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; or (c) is independently developed without reference to the disclosed information.
SINDA's confidentiality obligations are subject to overriding legal and regulatory requirements, including statutory disclosure and reporting obligations under Hong Kong law.
13. Links to Third-Party Websites
The Website may contain links to third-party websites not under SINDA's control. SINDA assumes no responsibility for such websites and disclaims all liability for any loss or damage arising from their use. The inclusion of any link does not imply endorsement by SINDA.
14. Website Availability and Disclaimers
The Website and all content, tools, and information are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, SINDA makes no warranty, express or implied, as to fitness for a particular purpose, accuracy, completeness, compatibility, or satisfactory quality. SINDA is under no obligation to update Website content.
SINDA uses reasonable endeavours to maintain the Website securely and free of errors, but gives no guarantee that the Website will be free of errors, viruses, or other malicious code. Users are responsible for maintaining appropriate security measures on their own devices.
SINDA accepts no liability for any disruption, interruption, or non-availability of the Website arising from any cause. SINDA reserves the right to alter, suspend, or discontinue any part or all of the Website, including any services or products offered, at any time and without notice.
15. Limitation of Liability
Nothing in these Terms limits or excludes: (a) liability for death or personal injury caused by SINDA's negligence; (b) liability for fraud or fraudulent misrepresentation; or (c) any other liability that cannot be lawfully excluded under the laws of the HKSAR.
To the maximum extent permitted by Hong Kong law, SINDA shall not be liable for any loss or damage arising from:
- Force Majeure Events, including acts of God, pandemic, war, civil unrest, government or regulatory action, or failure of third-party infrastructure;
- the Client's failure to provide accurate, complete, or timely information or documentation;
- the Client's failure to comply with applicable law, regulation, or SINDA's instructions;
- acts or omissions of third-party service providers, registrars, banks, or government authorities;
- any reliance on Website content without independent professional verification; or
- any suspension or termination of services required by law, regulation, or SINDA's compliance obligations.
SINDA's aggregate liability to a Client in connection with any single matter shall not exceed the total fees actually paid by that Client to SINDA in respect of the specific service giving rise to the claim in the twelve (12) months preceding the relevant event. In no event shall SINDA be liable for any indirect, special, or consequential loss, loss of profit, loss of revenue, loss of data, or loss of anticipated savings or business opportunity.
The Client agrees to indemnify SINDA, its affiliates, and their respective directors, officers, employees, and agents from and against all liabilities, claims, costs, and expenses arising from the provision of Services, except to the extent directly attributable to SINDA's gross negligence, wilful default, or fraud.
16. Term and Termination
16.1 Duration
These Terms take effect from the date of the Client's first use of the Website or submission of an Order (whichever is earlier). For Online Orders, these Terms apply for the duration of the relevant Order and any ongoing service obligations arising from it.
For Clients engaged via Engagement Letter, the Agreement commences on the Commencement Date for an initial term of one (1) year or to the end of the first Billing Period (whichever is shorter) (the "Initial Term"), and shall thereafter automatically renew for successive one (1) year periods (each an "Additional Term") unless and until terminated in accordance with this Clause 16.
16.2 Termination on Notice
Either party may terminate this Agreement (or any specific ongoing service engagement) by giving to the other party not less than three (3) months' prior written notice by email to the other party's designated contact address (for SINDA: [email protected]). A shorter notice period may be agreed in writing by both parties.
For Online Orders covering one-off or project-based services, termination on notice does not apply. Cancellation and refund rights for such Orders are governed exclusively by the Refund Policy at sindacorporation.com/other/refund-policy.
16.3 Immediate Termination
Notwithstanding Clause 16.2, either party may terminate with immediate effect by written notice in any of the following circumstances:
- By the non-defaulting party, if the other party fails to remedy a material breach within thirty (30) days of receiving written notice specifying the breach;
- By either party, in the event of the winding-up, dissolution, liquidation, receivership, insolvency (or equivalent in any jurisdiction), striking-off, or discontinuation of the other party;
- By SINDA, if the Client fails to pay any amount due and such failure continues for more than fourteen (14) days after the due date;
- By SINDA, if the Client provides false, misleading, or materially incomplete information in connection with KYC/AML onboarding or ongoing monitoring;
- By SINDA, if required to do so by law, regulation, court order, or any regulatory authority; or
- By SINDA, if SINDA determines in its reasonable discretion that continuing the engagement would expose it to legal, regulatory, compliance, or reputational risk.
16.4 Consequences of Termination
Upon termination for any reason:
- The Client shall promptly pay all outstanding fees, disbursements, and other amounts due to SINDA, including fees for work in progress to the date of termination;
- Upon receipt of all amounts owing, SINDA shall promptly deliver or make available all documents, records, and corporate registers belonging to the Client in SINDA's possession, subject to any applicable lien and SINDA's legal and regulatory obligations;
- The Client must provide details of a new service provider to maintain the managed entity's good standing. If not provided within a reasonable period, SINDA may withdraw and resign from any officeholder positions without appointing a successor; and
- The Client shall immediately cease to represent itself as continuing to receive services from, or being connected with, SINDA.
16.5 Survival
Termination is without prejudice to accrued rights and obligations. The provisions of Clauses 7, 8, 11, 12, 15, and 17 survive termination howsoever arising.
17. General Provisions
17.1 Variation
SINDA may update these Terms from time to time by publishing revised Terms on the Website. Revised Terms take effect from the date of publication. Continued use of the Website or services constitutes acceptance. Clients holding an Engagement Letter will be notified of material variations.
17.2 Severability
If any provision is found invalid, illegal, or unenforceable, it shall be deemed deleted to the minimum extent necessary and the remaining provisions continue in full force.
17.3 Waiver
No failure or delay by SINDA in exercising any right or remedy constitutes a waiver of that right or remedy.
17.4 Assignment
You may not transfer, assign, or sub-contract any rights or obligations under these Terms without SINDA's prior written consent. SINDA may assign its rights where it reasonably believes this will not materially prejudice your position.
17.5 Entire Agreement
These Terms, together with the Business Trading Terms and Conditions, Engagement Letter (where applicable), Schedule of Fees, Privacy Policy, Cookies Policy, and Refund Policy, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.
17.6 Third-Party Rights
These Terms do not confer any rights on any third party. Any provision of applicable Hong Kong law that might otherwise imply third-party contractual rights is excluded to the fullest extent permitted by law.
17.7 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question as to their existence, validity, or termination — shall be subject to the exclusive jurisdiction of the courts of the HKSAR.
Note for Engagement Letter clients: Your Engagement Letter may contain an alternative dispute resolution mechanism. In such cases, those dispute resolution provisions shall prevail over this clause.
17.8 Complaints
We aim to resolve all disputes promptly and amicably. If a dispute arises, please contact us at [email protected]. We will endeavour to respond with an appropriate solution within 5 working days.
