Filing Your Overseas Entity Update Statement — Trust A Verified UK Government-Listed Agent

Filing Your Overseas Entity Update Statement — Trust a Verified UK Government-Listed Agent

Under the UK Economic Crime (Transparency and Enforcement) Act 2022, all overseas entities that own property or land in the UK are legally required to file an Overseas Entity Update Statement annually with Companies House. This is a critical compliance obligation to maintain your entity’s good standing and avoid penalties.

At Sinda Corporation UK , we are proud to be an officially authorised agent by Companies House and a TCSP-licensed business under Hong Kong law (License No. TC008290). Our firm is also listed on the UK government’s public register of UK-regulated agents who are approved to carry out verification checks for overseas entities:

What Is an Overseas Entity Update Statement?

It is a mandatory filing that confirms whether there have been any changes in the beneficial ownership of the overseas entity, and whether previously filed details are still accurate. It must be submitted within 14 days of each anniversary of your registration on the UK Register of Overseas Entities.

Even if no changes have occurred, you must still file.

Failure to file on time may result in:

  • Severe financial penalties

  • Inability to buy, sell, or lease property in the UK

  • Potential prosecution for non-compliance

Why You Need a Verified UK-Regulated Agent

UK law requires all verification of beneficial owners and managing officers to be conducted by a regulated UK-based agent, such as a Trust or Company Service Provider (TCSP). Only authorised agents are allowed to submit the required statements electronically to Companies House.

As an approved provider, we offer:

  • Full KYC/AML identity verification in line with UK and international standards

  • Preparation and electronic submission of the Overseas Entity Update Statement

  • Advisory services in the event of ownership or structure changes

  • Ongoing compliance support for global clients with UK property holdings
