Register Overseas Entities in the UK
The Register of Foreign Entities trading in the UK has written into law since 2022 via the New Economic Crime Act 2022. The regulation stipulates that foreign companies wanting to transact properties or land in the UK are required to register with Companies House and disclose the identity of beneficiary owners.
After registering, the foreign company will receive a unique Overseas Entity ID for the purpose of registering the property with Land Registry when they transact property or land deals in the UK.
What information will need to be submitted in the filling ?
You’ll need to tell Companies House the overseas entity’s:
1.name
2.country it was incorporated in
3.registered office address and correspondence address
4.email address – Companies House will use this to send important information, including the Overseas Entity ID
5.legal form and governing law
6.public register it appears on and its registration number (if it has one)
Companies House will also need to know the following information from the beneficiary owner:
1. full name
2.date of birth
3.nationality
4.correspondence address and home address
5.date they became a beneficial owner for the overseas entity
6.nature of control
7.Whether or not they are on the UK Sanctions List
8.if any beneficial owners have their personal information protected at Companies House
If the beneficiary owner is an entity, Companies House will need to know the following information from the beneficiary owner:
1.name
2.registered office address and correspondence address
3.legal form and governing law
4.public register it appears on and its registration number (if relevant)
5.date they became a beneficial owner for the overseas entity
6.nature of control
In rare cases, if no beneficiary owner can be identified, Companies House will need to know the details of the managing officer with the following information:
1.full name (and former names, if relevant)
2.date of birth
3.nationality
4.correspondence address and home address
5.occupation (this is optional)
6.roles and responsibilities in relation to the entity
If the managing officer is an entity, the following information will need to be disclosed to Companies House:
1.name
2.registered office address and correspondence address
3.legal form and governing law
4.public register it appears on and its registration number (if relevant)
5.roles and responsibilities in relation to the entity
6.You’ll also need to tell us the full name and email address of someone we can contact about this managing officer.
After the checks have been done by a UK-regulated agent, an overseas entity verification checks statement will need to be filed with Companies House on behalf of the beneficiary owner.
